An evaluation of the Board, its committees, and Directors at the end of the reporting period. The appraisal exercise would be benchmarked against best Governance practices and regulations.
The exercise will cover:
-The Quality of the Board (Size, Structure, Composition): We will review these metrics with a view to confirming the existence of a well-rounded, diverse, and balanced Board.
-The Board’s Effectiveness: Key metrics would include frequency of Board meetings, the effectiveness of Committees, regular Board upskilling, etc.
-The Board’s relationship with its Stakeholders: Key metrics here would include frequency and quality of engagement with all stakeholders:
- The Board’s oversight of Strategy, Succession Planning, Risk Management, and Compliance
- Board Operations and Monitoring: The presence of a self-appraisal mechanism and performance monitoring of Executive Management.
Thereafter, we will present our findings, recommendations, and remediation actions to ensure significant compliance with best practices and regulatory requirements.
